1. About these terms
These terms are an agreement between Milena Software Ltd, a company registered in England and Wales (company number 12117374, VAT number GB358417280), which runs CarCheckUp ("we", "us"), and you, the partner ("you"). You accept them when you apply to the programme. They apply from the day your application is approved.
2. Joining
- You can join as an individual or as a business. If you join for a company, the company is the partner and you confirm that you may act for it; we may check its details on the Companies House register.
- One account per person or business. The details you give us must be true and kept up to date.
- We may approve applications automatically. We may still decline an application, or pause or close an account, at any time, for example if a site does not suit the programme.
3. Your links and the check box
- Use only the links and the free car check box (widget) from your partner dashboard, with your partner code. Don't change how the widget works or what it says.
- A link only counts when a person clicks it on purpose. Not allowed: setting your code without a click ("cookie stuffing"), hidden frames or images, pop-ups or pop-unders, automatic redirects, and bought or automated traffic.
4. Commission
- Rate: the default rate shown on the programme page (currently 5%), or a rate we agree with you, shown in your dashboard.
- What it applies to: the price the buyer paid for full reports, excluding VAT.
- Which partner earns the sale: a sale is credited to the partner whose link the buyer last followed within 30 days before buying, as recorded by our systems. Our records decide which sales are credited. Each order earns one commission.
- No commission on:
- your own purchases, or purchases by people acting for you;
- purchases in the CarCheckUp app;
- orders that are refunded, charged back, fraudulent or made in breach of these terms;
- sales while your account is paused or closed.
- Changes to rates: we may change rates by telling you by email or in your dashboard. A sale keeps the rate it was made at.
5. Payment
- When a commission is confirmed: 30 days after the sale (the refund window).
- When we pay: monthly, by PayPal or UK bank transfer to the payout details in your dashboard, once your confirmed commission reaches £50. Smaller amounts carry over to the next month.
- Your payout details: keep them correct; we aren't responsible for a payment made to details you gave us. We email you whenever they change.
- Your costs: fees your PayPal account or bank charges for receiving money are yours.
- Withheld commission: we may withhold commission connected to suspected fraud or a breach of these terms while we look into it, and cancel it if the breach is confirmed. If a paid commission turns out not to be due (for example a later refund), we may deduct it from future payouts.
6. VAT and tax
- No VAT is added to commissions. We pay the commission shown in your dashboard and nothing more, whether or not you are registered for VAT.
- Not registered for VAT: there is no VAT to deal with.
- Registered for VAT: the commission is the whole price of your services, VAT included, so you account for the VAT out of it and deal with your VAT returns yourself. We don't need VAT invoices from you.
- Your own taxes: you are responsible for your own VAT, income tax, National Insurance and any other taxes on what you earn, in the UK or where you are based.
7. How you promote CarCheckUp
- Describe CarCheckUp and its reports truthfully. Don't claim that a report shows things it doesn't, that it is free when it isn't, or that CarCheckUp is the DVLA, the government or your own service.
- Make clear that your links are affiliate links, as UK advertising rules (the CAP Code) require, for example with "Ad" or "affiliate link".
- Follow the law, including consumer protection law and the rules on marketing emails and texts: no spam.
- Not allowed without our written agreement:
- paid search ads on "CarCheckUp" or its misspellings, or ads that look like ours;
- domain names, apps or social media accounts that use our name;
- coupon, discount-code, cashback or reward listings;
- promotion on sites with illegal, hateful, violent or adult content.
8. Our name and logo
While you are a partner, you may use the CarCheckUp name, logo and the check box to promote CarCheckUp under these terms. This permission ends when your account closes, or earlier if we ask you to stop.
9. Personal data
We and you are each responsible for the personal data we handle. We don't share buyers' personal data with partners: your dashboard shows only numbers of visits and sales. We use your details to run the programme and pay you, as our Privacy Policy explains.
10. Ending the agreement
- You can leave at any time by emailing us. We can end the agreement by email at any time, and straight away if you break these terms.
- When the agreement ends, your links stop earning. We pay the confirmed commission you earned before the end, even if it is below the minimum payout, unless it is connected to a breach of these terms.
11. Liability
We don't promise any level of sales or earnings, or that the website, links or dashboard will always be available. Our total liability to you under these terms is limited to the commission paid or due to you in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow to be limited.
12. Changes to these terms
We may change these terms. We will tell you by email or in your dashboard; if you keep promoting CarCheckUp after the change takes effect, you accept it. Changes don't affect commission already earned.
13. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.
